Description :
Capital Markets Solicitor Aina Blankson LP seeks a well-experienced
Capital Markets lawyer for its Lagos office with good working
knowledge of securities (debt and equity). The successful applicant
will lead the Capital Markets Group in providing high quality advice
and assistance to underwriters and issuers of debt and equity
including bonds, derivatives, structured finance, public offerings,
private placements, listings, asset-backed notes and liability
management.
Applicants will have gained their post-qualification experience in a
respected Capital Markets department with emphasis on the
origination, management and execution of financial transactions. An
impressive academic record and excellent communication and drafting
skills are essential.
Years of Experience & Education :
Minimum of 3 years post-call experience with in-depth knowledge of
the domestic capital markets and hands-on familiarity with the
Securities & Exchange Commission, Nigerian Stock Exchange and other
Regulatory Bodies. Candidates with proven numerical skills or
qualifications and/or prior experience working on
cross-jurisdictional deals are at an advantage. Freshers/interns
with excellent skills may also be considered for positions within
the Group.
Summary of Duties and Responsibilities:
1. Structuring and executing various types of Corporate Finance and
Capital Market transactions involving the drafting and reviewing of
deal-related documentation such as marketing documents, engagement
letters, offering documents, fund documentation (equity and debt),
underwriting agreements, legal opinions, etc.
2.
Thorough analysis and in-depth interpretation of market trends and
corporate information including financial statements, business
models and reports for designing, structuring and forming the most
appropriate investment-grade securities, funding vehicles and
mechanisms.
3. Due
diligence and advice on tax, regulatory and compliance issues.
In
summary, successful candidates will be given the opportunity to
provide ideas and intelligence to the firm covering all types of
capital market products including M&A, private equity, public
offerings, bond issues, funds, and much more, and to increase their
knowledge of financing solutions, including structuring (both debt
and equity), accounting and tax expertise, financial modelling and
analysis.
